1. Acceptance of Terms

By accessing or using the SecurityX platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and SecurityX, Inc. ("SecurityX," "we," "us," or "our").

2. Description of Services

SecurityX provides enterprise security solutions including endpoint protection, anti-malware services, compliance management, and NIST SSDF compliance automation tools. Our Services are designed to help organizations protect their software development infrastructure and meet regulatory requirements.

3. Account Registration

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

4. Subscription and Payment

Subscription Plans

Our Services are offered on a subscription basis. Current pricing and features for each plan are available on our pricing page. We reserve the right to modify pricing with 30 days notice.

Billing

Subscription fees are billed in advance on a monthly or annual basis depending on your plan. All fees are non-refundable except as expressly provided in these Terms or required by law.

Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any laws
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the Services or servers
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Share your account credentials with third parties
  • Use the Services to transmit malware or malicious content
  • Resell or redistribute the Services without authorization

6. Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by SecurityX or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You retain ownership of all data you submit to the Services. By using our Services, you grant us a limited license to process your data solely to provide and improve our Services.

8. Service Level Agreement

For Enterprise customers, SecurityX provides a Service Level Agreement (SLA) guaranteeing 99.9% uptime. Details of the SLA, including remedies for service interruptions, are provided in your Enterprise agreement.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECURITYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SECURITYX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless SecurityX and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys fees) arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the Services will immediately cease. You may export your data within 30 days of termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
